Welcome to GreenMetric AI. These Terms of Service ("Terms") govern your access to and use of the GreenMetric AI platform, website, API, and related services (collectively, the "Service") operated by GreenMetric AI ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account, accessing the API, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

These Terms constitute a legally binding agreement between you and GreenMetric AI. If you do not agree to all of these Terms, you must immediately cease use of the Service and delete your account.

2. Description of Service

GreenMetric AI provides an API-based platform for environmental product scoring. The Service uses proprietary algorithms and lifecycle assessment (LCA) data to generate environmental impact estimates for consumer and commercial products. The Service includes, but is not limited to:

• Environmental scoring via API endpoints that return environmental impact scores, estimated CO2 equivalents, and multi-criteria grades (ranging from A+ to F) for submitted products.
• Product analysis by text description or by URL, where we may scrape publicly accessible product pages to extract relevant product information for scoring.
• Asynchronous processing through a job queue system for computationally intensive scoring requests.
• A web dashboard for managing API keys, viewing usage analytics, and administering team members.

The Service is offered through tiered subscription plans (Free, Starter, Pro, and Enterprise), each with varying levels of access, API call limits, and features as described on our pricing page.

3. Account Registration & Security

To use the Service, you must create an account. When registering, you agree to:

• Be at least 18 years of age or the age of legal majority in your jurisdiction.
• Provide accurate, current, and complete information during the registration process and keep your account information up to date.
• Maintain the confidentiality of your account credentials, including your password and API keys.
• Accept responsibility for all activity that occurs under your account, whether or not authorized by you.
• Notify us immediately through our contact page if you suspect any unauthorized use of your account or any security breach.

GreenMetric AI reserves the right to suspend or terminate accounts that contain inaccurate information, are used in violation of these Terms, or pose a security risk to the Service or other users.

4. API Usage & Rate Limits

Your use of the API is subject to the rate limits and restrictions associated with your subscription plan:

• Free: 25 API requests per month, up to 2 API keys, 1 team member.
• Starter ($29/month): 5,000 API requests per month, up to 5 API keys, 3 team members.
• Pro ($99/month): 50,000 API requests per month, up to 25 API keys, 10 team members.
• Enterprise: Custom limits, API keys, and team members as defined in your Enterprise agreement.

You agree to the following conditions regarding API usage:

• API Key Confidentiality: Your API keys are confidential credentials. You must not share, publish, or expose your API keys in public repositories, client-side code, or any publicly accessible location. You are responsible for any usage that occurs with your API keys.
• No Abusive Usage: You must not use the Service in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service. This includes, but is not limited to, distributed denial-of-service (DDoS) attacks, automated scraping of our platform (as opposed to legitimate API use), or deliberate attempts to circumvent rate limits.
• No Unauthorized Access: You must not attempt to access the Service, other user accounts, or systems connected to the Service through any unauthorized means, including hacking, password mining, or any other illegitimate method.
• Rate Limit Enforcement: Requests exceeding your plan's limits will be throttled or rejected. Persistent or deliberate abuse of rate limits may result in temporary or permanent suspension of your account.

5. Intellectual Property

This section outlines the intellectual property rights of both GreenMetric AI and its users. Please read it carefully.

5.1 GreenMetric AI's Proprietary Rights

The Service, including but not limited to the GreenMetric AI platform, website, application programming interfaces (APIs), scoring algorithms, environmental scoring methodology, lifecycle assessment (LCA) processing engine, data models, machine learning models, software, source code, object code, documentation, user interface designs, trademarks, trade dress, and all related intellectual property, are and remain the exclusive property of GreenMetric AI and its licensors. These are protected by copyright, trade secret, patent, trademark, and other intellectual property laws.

The proprietary scoring algorithms, environmental assessment methodology, and LCA processing engine constitute trade secrets of GreenMetric AI. No part of the Service grants you any ownership interest in the platform or its underlying technology.

5.2 Limited License Grant

Subject to your compliance with these Terms, GreenMetric AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the Service through the provided API and web dashboard in accordance with your subscription plan.
• Use the environmental scores, grades, and estimates returned by the API ("Output Data") in your own products, services, applications, or internal business operations, provided that such use complies with Section 7 (Accuracy & Disclaimer) of these Terms.
• Display Output Data to your end users, provided that you do not misrepresent the Output Data as certified environmental labels, official regulatory certifications, or anything other than estimates derived from lifecycle assessment data.

5.3 Restrictions

You expressly agree that you will NOT:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data models, or underlying methodologies of the Service or any part thereof.
• Attempt to extract, reconstruct, or replicate GreenMetric AI's proprietary scoring algorithms, LCA processing engine, or environmental assessment methodology through any means, including but not limited to systematic querying, output analysis, or benchmarking.
• Resell, redistribute, sublicense, or otherwise provide direct or indirect access to the raw GreenMetric AI API to third parties as a standalone product or service (i.e., you may not create an "API wrapper" or "proxy service" that simply passes through our API).
• Use the Service, its Output Data, or any knowledge gained from the Service to build, train, or improve a competing product or service that provides environmental scoring, LCA-based assessment, or substantially similar functionality.
• Remove, alter, or obscure any copyright notices, trademarks, or other proprietary rights notices displayed in or on the Service.
• Use the GreenMetric AI name, logo, or trademarks without prior written consent, except as reasonably necessary to identify GreenMetric AI as the source of the Output Data in your application.

5.4 User Ownership of Submitted Data

You retain all ownership rights to the data, product descriptions, URLs, and other content you submit to the Service ("User Content"). Nothing in these Terms transfers ownership of your User Content to GreenMetric AI.

5.5 Feedback

If you provide suggestions, feature requests, bug reports, or other feedback regarding the Service ("Feedback"), you grant GreenMetric AI a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

6. User Content & Data

You retain ownership of all User Content you submit to the Service, including product descriptions, URLs, images, and any other data provided for environmental scoring.

By submitting User Content to the Service, you grant GreenMetric AI a limited, non-exclusive, worldwide license to process, analyze, store, and use your User Content solely for the purpose of providing and improving the Service. This license includes the right to:

• Process your submissions through our scoring engine and return environmental assessment results.
• Temporarily cache submitted URLs and scraped product page data for the purpose of completing your scoring request.
• Use anonymized, aggregated data derived from User Content to improve the accuracy and performance of the Service. Such aggregated data will not identify you or any individual.

We process all User Content in accordance with our Privacy Policy. You represent and warrant that you have the right to submit all User Content and that your submissions do not violate any third-party rights or applicable laws.

When you submit a URL for product analysis, you represent that you have a legitimate purpose for analyzing the product at that URL. GreenMetric AI accesses only publicly available information from product pages and does so in accordance with standard web practices.

7. Accuracy & Disclaimer

The environmental scores, CO2 estimates, multi-criteria grades, and other environmental data returned by the Service ("Output Data") are estimates generated by our proprietary algorithms based on lifecycle assessment (LCA) data, product classification, and publicly available information.

Output Data does NOT constitute and must NOT be represented as:

• Certified environmental labels or eco-labels.
• Official regulatory certifications or compliance determinations (including but not limited to EU Ecolabel, Energy Star, Cradle to Cradle, or any governmental certification).
• Guarantees of actual environmental impact, carbon footprint, or sustainability performance of any specific product.
• Verified or audited lifecycle assessment results conducted in accordance with ISO 14040/14044 or any other LCA standard.

Output Data is provided for informational purposes only and is intended to serve as a directional indicator of potential environmental impact. The accuracy of Output Data depends on numerous factors, including the quality and completeness of the input data, the availability of relevant LCA data in our databases, and the applicability of our product classification models to the submitted product.

THE SERVICE AND ALL OUTPUT DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.

GreenMetric AI does not warrant that the Service will be uninterrupted, error-free, or that any Output Data will be accurate or reliable. You acknowledge that you use the Service and rely on Output Data at your own risk.

Greenwashing Responsibility: You are solely responsible for how you use and present Output Data. If you display or communicate Output Data to consumers, customers, or the public, you must not misrepresent the nature, source, or certainty of the data. You assume all responsibility for ensuring that your use of Output Data complies with applicable consumer protection laws, advertising standards, and environmental marketing regulations (including but not limited to the EU Green Claims Directive and the FTC Green Guides). GreenMetric AI is not liable for any claims of greenwashing or misleading environmental marketing arising from your use of Output Data.

8. Payment Terms

GreenMetric AI offers both free and paid subscription plans. The following terms apply to all users:

8.1 Free Tier

The Free plan provides limited access to the Service at no cost, subject to the usage limits specified in Section 4. GreenMetric AI reserves the right to modify or discontinue the Free plan at any time with 30 days' notice.

8.2 Paid Plans

Paid subscriptions (Starter, Pro, and Enterprise) are billed on a monthly or yearly basis, as selected during signup. All payments are processed through Stripe, our third-party payment processor. By subscribing to a paid plan, you agree to Stripe's terms of service in addition to these Terms.

• Billing Cycle: Paid plans are billed in advance on a recurring monthly or yearly basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel prior to renewal.
• Price Changes: GreenMetric AI may change subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.
• Taxes: All prices are exclusive of applicable taxes. You are responsible for any applicable sales tax, VAT, or other taxes associated with your subscription.

8.3 Cancellation & Refunds

You may cancel your paid subscription at any time through your account dashboard or by contacting us through our contact page. Upon cancellation:

• Your subscription will remain active until the end of your current billing period.
• You will not be charged for subsequent billing periods.
• No refunds will be provided for partial billing periods, except where required by applicable law.
• After your subscription ends, your account will revert to the Free plan.

8.4 Failed Payments

If a payment fails, we will attempt to process the payment again according to Stripe's retry schedule. If payment cannot be collected after multiple attempts, your account may be downgraded to the Free plan and access to paid features may be restricted until payment is resolved.

9. Termination

Either party may terminate this agreement at any time, subject to the following conditions:

9.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your dashboard or by contacting us through our contact page. Termination by you does not entitle you to a refund of any prepaid fees.

9.2 Termination by GreenMetric AI

GreenMetric AI may suspend or terminate your account, with or without notice, if:

• You violate any provision of these Terms.
• Your use of the Service poses a security risk or may cause harm to the Service, other users, or third parties.
• Your account has been inactive for an extended period (12 months or more).
• We are required to do so to comply with applicable law or a valid legal process.
• You engage in abusive behavior, including but not limited to DDoS attacks, systematic attempts to reverse engineer the Service, or harassment of GreenMetric AI staff.

9.3 Effect of Termination

Upon termination of your account:

• Your right to access and use the Service will immediately cease.
• All API keys associated with your account will be immediately revoked.
• GreenMetric AI will delete your account data, including User Content, within 30 days of termination, unless we are required by law to retain it for a longer period.
• You may request an export of your data prior to termination by contacting us through our contact page.
• Sections 5 (Intellectual Property), 7 (Accuracy & Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 12 (Governing Law) will survive termination.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GREENMETRIC AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities.
• Loss of data or data corruption.
• Loss of goodwill or reputation.
• Cost of procurement of substitute goods or services.
• Any damages arising from reliance on Output Data, including but not limited to claims of greenwashing, misleading environmental claims, or regulatory penalties.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if GreenMetric AI has been advised of the possibility of such damages.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENMETRIC AI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO GREENMETRIC AI DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless GreenMetric AI, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or any Output Data.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your misrepresentation of Output Data as certified environmental labels, official certifications, or verified environmental impact assessments.
• Any claims by third parties (including your end users or customers) arising from your use or presentation of Output Data, including claims of greenwashing, misleading advertising, or unfair business practices.
• Your infringement of any third-party intellectual property rights or privacy rights.
• Your User Content or any data you submit to the Service.

GreenMetric AI reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, GreenMetric AI may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, trade secrets, or confidential information.

13. Modifications

GreenMetric AI reserves the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page.

For material changes (including but not limited to changes to pricing, liability limitations, or intellectual property provisions), we will provide at least 30 days' advance notice via email to the address associated with your account and/or through a prominent notice on the Service.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your account before the changes take effect.

14. General Provisions

14.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14.2 Waiver

The failure of GreenMetric AI to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by GreenMetric AI.

14.3 Entire Agreement

These Terms, together with the Privacy Policy and any Enterprise agreement (if applicable), constitute the entire agreement between you and GreenMetric AI regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

14.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of GreenMetric AI. GreenMetric AI may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

14.5 Force Majeure

GreenMetric AI shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet service disruptions, third-party service failures, or other force majeure events.

14.6 Notices

All notices under these Terms from GreenMetric AI to you will be sent to the email address associated with your account. Notices from you to GreenMetric AI must be submitted through our contact page. Notices are deemed received when sent via email, provided no delivery failure notice is received by the sender.
